WHAT’S INSIDE
Monthly CLM trends & PoseidonCLM updates.

Welcome to the first edition of The PoseidonCLM Post! This month, we’re spotlighting the EU’s new DORA regulations, rising AI adoption in law, upcoming HIPAA updates, and a new PoseidonCLM feature to streamline vendor approvals. Plus, a customer shoutout, community trivia, and a chance to share your best contract moves.

THE BIG STORY
DORA is Here (US Vendors are not off the hook)

The EU’s Digital Operational Resilience Act (DORA) is now in effect, and while it targets EU financial firms, the ripple effects hit U.S.-based vendors hard. If your business supports banks, insurers, or investment firms in the EU—even indirectly—your compliance status could become a deal-breaker.

DORA establishes strict operational resilience and cybersecurity standards for EU financial institutions, and mandates third-party risk oversight. This means U.S. service providers are now under scrutiny, facing the same reporting requirements, audits, and potential penalties as their clients overseas.

Key Takeaways

  • U.S. vendors working with EU financial firms must comply with DORA, including 24-hour breach reporting and detailed third-party risk documentation.

  • Non-compliance could lead to lost business, steep fines (up to 1% of global daily revenue), and reputational damage.

  • Proactive audits, regular IT testing, and detailed documentation are essential (not optional) for staying viable in the EU financial ecosystem.

CONTRACT INTELLIGENCE
Quick takes on what’s shaping CLM and compliance.

AI Adoption in Law Triples, Driven by Efficiency

The American Bar Association’s 2024 tech survey shows a sharp rise in AI use across law firms, with adoption jumping from 11% to 30% in one year. Efficiency gains remain the top reason, especially for tasks like legal research and document review. Larger firms lean toward specialized tools, while solos and small firms gravitate to ChatGPT.

New SBA Rules Slash GovCon Deal Value

SBA regulations taking effect January 17, 2026, will limit contract option years for small business set-asides after a sale if the buyer doesn’t meet eligibility criteria. This change significantly lowers company valuations in government contracting M&A, particularly affecting backlog-heavy firms. Exceptions exist, but most multi-award contracts are now riskier to transfer.

HIPAA Rule Changes Tighten in 2025

HIPAA enforcement is ramping up in 2025, with increased scrutiny on incomplete security risk assessments and stricter patient access compliance. Proposed updates to the Security Rule focus on modern threats like ransomware, while HHS is also tightening oversight of tracking tech, AI tools, and reproductive health data disclosures. Covered entities must update policies and notices or risk penalties.

Feature Highlight

Vendor Request (Initial Review & Approval) – Using intake forms to standardize new vendor requests is an excellent first step in an effective contract lifecycle management program.   However, an often-overlooked next step is the initial review and approval of that request.  The process can be simple (1-2 people / i.e. Dept Lead and Finance) reviewing the request.  It is a chance to save time and resources on a request that may never be fulfilled b/c existing vendors already provide that service, there is no budget for the request or dozens of other reasons.

Manually select reviewing or use automation (Dept, $ amount, and other criteria)

Optional – if files are provided during the request, choose one to many files to route along with the review & approval

Track individual review & approvals processes per request

Track all review & approval processes via dashboards
